Acceptance of Terms
- As a Course Creator, you are responsible for all content that you post, including lectures, media, quizzes, coding exercises, practice tests, assignments, resources, answers, course landing page content, labs, assessments, and announcements ("Submitted Content").

You represent and warrant that:
- you will provide and maintain accurate account information;
- you own or have the necessary licenses, rights, consents, permissions, and authority to authorize The Great Discovery to use your Submitted Content as specified in these Terms and the Terms of Service;
- your Submitted Content will not infringe or misappropriate any third party's intellectual property rights;
- you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the Services; and
- you will ensure a quality of service that corresponds with the standards of your industry and instruction services in general.

You warrant that you will not:
- post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
- post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;
- use the Services for business other than providing tutoring, teaching, and instructional services to students;
- engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
- frame or embed the Services (such as to embed a free version of a course) or otherwise circumvent the Services;
- impersonate another person or gain unauthorized access to another person's account;
- interfere with or otherwise prevent other Course Creators from providing their services or content; or
- abuse The Great Discovery resources, including support services.

Policy Guidelines for Course Creators on The Great Discovery Platform:
As an online curriculum company providing both adult and children’s content, it is
essential to
establish clear and comprehensive guidelines for course creators. These guidelines are
designed
to ensure that all content provided on our platform is ethical, safe, educational, and
in line
with our core values. Below are the specific policy guidelines concerning violence,
income claims,
and sexually explicit content for any person wishing to create a course.

Violence Policy
Objective: Ensure that content promotes a safe, respectful, and healthy learning environment for all users.- Prohibited Content: Courses must not contain any material that promotes, glorifies, or encourages violence. This includes, but is not limited to, physical violence, hate speech, self-harm, or illegal activities.
- Acceptable Content: If course content involves sensitive topics related to violence (e.g., history, literature, or criminal justice), it must be presented in an educational and factual manner. Graphic imagery, descriptions of violent acts, or glorification of violence is strictly prohibited.
- Trigger Warnings (Disclaimer): If a course covers sensitive material that could be disturbing or distressing, a clear trigger (disclaimer) warning must be provided at the beginning of the course and before each relevant section.
- Moderation: Courses will be reviewed for violent content by our moderation team before being published on the platform. Any violations of this policy will result in the removal of the course and, depending on the severity, suspension or banning of the course creator.

Income Claims Policy
Objective: Maintain transparency and avoid misleading or deceptive claims regarding potential earnings from using the platform.- Prohibited Content: Course creators are not allowed to make claims that guarantee, promise, or suggest specific income outcomes from completing their course. This includes claims such as "Make $10,000 a month after completing this course" or "Guaranteed job placement with our course."
- Acceptable Content: Any statements regarding income potential must be based on realistic, verifiable data and must clearly state that results may vary depending on various factors, such as effort, prior experience, and market conditions.
- Disclaimers: All income-related claims must include a disclaimer noting that the platform does not guarantee specific income levels. For example: “Earning potential depends on individual effort and external factors. No guaranteed results.”
- Transparency: Creators must be transparent about the nature of the content, and it should be clear that the course is focused on skill development rather than financial gain.
- Review: Our team will review the content of any course that includes financial advice or income claims for compliance with this policy. Non-compliance may lead to the removal of the course.

Sexually Explicit Content Policy
Objective: Ensure that content on the platform is appropriate for all users, particularly considering that the platform may be used by both children and adults.- Prohibited Content: Course content must not contain any sexually explicit material, including but not limited to pornography, sexually suggestive language, or explicit discussions of sexual acts. The platform is not intended for adult entertainment or explicit adult education.

Acceptable Content: Courses addressing topics related to sexual health,
relationships,
or education must do so in a professional, respectful, and educational
manner.
Such content should be accurate, age-appropriate, and scientifically
grounded.
- For children’s courses, content must be appropriate for the developmental stage of the target audience and align with educational standards.
- For adult courses, content should be respectful, evidence-based, and professionally presented. For instance, courses on sexual health or relationships must focus on providing valuable knowledge and fostering healthy discussions.
- Censorship and Editing: Any content that includes sexually explicit language or images, or is deemed inappropriate for the platform, will be removed immediately. This includes any form of graphic or suggestive material.
- Age Restrictions: Content intended for adults must be clearly labeled, and creators must ensure that courses with potentially sensitive content are restricted to users over a certain age (18+).
- Review Process: All courses will undergo a review process before being published. Courses that fail to meet our standards for appropriateness and professionalism will be rejected.
Enforcement and Consequences
- Monitoring: The platform will continuously monitor courses for adherence to these guidelines. Feedback from users, as well as routine content audits, will be used to ensure compliance.
- Appeal Process: The appeal process allows course creators to formally request a review of actions taken on their courses or accounts, such as suspension or content moderation decisions. Follow these instructions to ensure smooth and efficient appeal.

- Respectful Communication: Always communicate respectfully and professionally throughout the process.
- One Appeal per Action: Typically, only one appeal per action is allowed, so ensure that your appeal is as comprehensive as possible.
- Stay Updated on Policy Changes: Policies may evolve, so periodically review platform guidelines to ensure ongoing compliance with content standards.

Consequences for Violations: Course creators who violate any of these
policies may face:
- Warnings and requests for revisions.
- Temporary or permanent removal of the course.
- Suspension or banning of the course creator’s account.
- Legal action if the violation involves harmful or illegal content.

License to The Great Discovery
- You grant The Great Discovery the rights detailed in the Terms of Service to offer, market, and otherwise use your Submitted Content. This includes the right to add captions or otherwise modify Submitted Content to ensure accessibility. You also authorize The Great Discovery to sublicense these rights to your Submitted Content to third parties, including to students directly and through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms.

Unless otherwise agreed, you have the right to remove all or any portion of your
Submitted Content from the Services at any time.
- Except as otherwise agreed, The Great Discovery's right to sublicense the rights in this section will terminate with respect to new users 60 days after the Submitted Content's removal. However, (1) rights given to students before the Submitted Content's removal will continue in accordance with the terms of those licenses (including any grants of lifetime access) and (2) The Great Discovery's right to use such Submitted Content for marketing purposes shall survive termination.
- We may record and use all or any part of your Submitted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant The Great Discovery permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, or The Great Discovery's content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law. A Creator may opt out by sending an email to [email protected] with the subject line “Do Not Use My Information” from the email associated with your account. This will become effective within 48 hours after we receive it.

Trust & Safety Policies
- You agree to abide by The Great Discovery's Trust & Safety policies and other content quality standards or policies prescribed by The Great Discovery from time to time. You should check these policies periodically to ensure that you comply with any updates to them. You understand that your use of the Services is subject to The Great Discovery's approval, which we may grant or deny at our sole discretion.

We reserve the right to remove content, suspend payouts, and/or ban Course Creators
for any reason at any time, without prior notice, including in cases where:
- a Course Creator or content does not comply with our policies or legal terms (including the Terms of Service);
- content falls below our quality standards or has a negative impact on the student experience;
- a Course Creator engages in behavior that might reflect unfavorably on The Great Discovery or bring The Great Discovery into public disrepute, contempt, scandal, or ridicule;
- a Course Creator engages the services of a marketer or other business partner who violates The Great Discovery's policies;
- a Course Creator uses the Services in a way that constitutes unfair competition, such as promotion of their off-site business in a way that violates The Great Discovery's policies; or
- as determined by The Great Discovery in its sole discretion.

Co-Course Creators and Teaching Assistants
- The Great Discovery platform allows you to add other users as co-Course Creators, teaching assistants or Virtual Assistants for Submitted Content that you manage, and you are required to comply with our Co-Course Creator Relationship Rules and Guidelines when taking such actions. By adding a co-Course Creator or teaching assistant, you understand that you are authorizing them to take certain actions that affect your The Great Discovery account and Submitted Content. Violations of The Great Discovery's terms and policies by your co-Course Creator or teaching assistant may also impact your The Great Discovery account and Submitted Content.
- The Great Discovery is not able to advise on any questions or mediate any disputes between you and such users. If your co-Course Creators have an assigned revenue share, their share will be paid out of your earned revenue share based on the ratios you have specified in your Course Management settings as of the date of the purchase.

Relationship to Other Users
- Course Creators don't have a direct contractual relationship with students, the only information you'll receive about students is what is provided to you through the Services (For a Free course the first and last name will be provided. For Genius Club, Premium and Academy the first name, last name and contact information will be provided if the Course Creator has an active Genius Club membership). You agree that you will not use the data you receive for any purpose other than providing your services to those students on or through The Great Discovery platform, and that you won't solicit additional personal data. You agree to indemnify The Great Discovery against any claims arising from your use of students' personal data.

Anti-Piracy Efforts
- We may partner with anti-piracy vendors to help protect your content from unauthorized use. To enable this protection, you hereby appoint The Great Discovery and our anti-piracy vendors as your agents for the purpose of enforcing copyrights for each of your content, through notice and takedown processes (under applicable copyright laws like the Digital Millennium Copyright Act) and for other efforts to enforce those rights. You grant The Great Discovery and our anti-piracy vendors primary authority to file notices on your behalf to enforce your copyright interests.
- You agree that The Great Discovery and our anti-piracy vendors will retain the above rights unless you revoke them by sending an email to [email protected] with the subject line: "Revoke Anti-Piracy Protection Rights" from the email address associated with your account. Any revocation of rights will be effective 48 hours after we receive it.

Pricing

Price Setting
- When creating Submitted Content available for purchase on The Great Discovery, you will be prompted to enter a base price ("Base Price") for your Submitted Content. Alternatively, you may choose to offer your Submitted Content for Free or as part of the Genius Club.
- For a student from a foreign country (counties outside of the United States) the price will be adjusted by the Consumer Price Index (“CPI”) of the student’s country. The Great Discovery reserves the right to update the CPI at any time. You can view the CPI adjusted pricing by changing the Country on the website. Also, the country for the credit card address in the shopping cart must match the country selected on the website, i.e. if you choose India for pricing on the website the credit card address country used for the transaction much be the same, India.
- You give us permission to share your Submitted Content for free with our employees, with selected partners, and in cases where we need to restore access to accounts who have previously purchased your Submitted Content. You understand that you will not receive compensation in these cases.

Transaction Taxes
- If a student purchases a product or service in a country that requires The Great Discovery to remit national, state, or local sales or use taxes, value added taxes (VAT), or other similar transaction taxes ("Transaction Taxes"), under applicable law, we will collect and remit those Transaction Taxes to the competent tax authorities for those sales. We may increase the sale price at our discretion where we determine that such taxes may be due.

Payments

Revenue Share
- When a student purchases your Submitted Content, we calculate the gross amount of the sale as the amount actually received by The Great Discovery from the student ("Gross Amount").
- For sales through The Great Discovery platform, your revenue share will be 30% for Premium Courses and 70% for Academy Courses of the Gross Amount less any applicable deductions, such as student refunds or discounts. If there is a change to the payment rate, we will provide you 30 days notice using prominent means, such as via email or by posting a notice through our Services.
- The Great Discovery makes all Course Creator payments in U.S. dollars (USD) regardless of the currency with which the sale was made. The Great Discovery is not responsible for your foreign currency conversion fees, wiring fees, or any other processing fees that you may incur. Your revenue report will show the sales price (in USD).

Course Creator Coupons and Course Referral Links
- The Great Discovery platform may allow you to generate coupon codes and referral links to offer certain items of your Submitted Content to students at a discount, at The Great Discovery's current price, or for free, as permitted within the Services. These coupon codes and referral links are subject to limits, and you may not sell them on third-party websites or otherwise offer them in exchange for compensation.
- The Great Discovery may offer discounts through coupon codes. A Creator may opt out by sending an email to [email protected] with the subject line “Opting out of Coupon Codes” from the email associated with your account. This will become effective within 48 hours after we receive it.

Receiving Payments
- All payments will be made through The Great Discovery’s eWallet system or
alternative payments (to be determined). eWallet balances can be withdrawn
through The Great Discovery’s i-Payout system.
- If you reside in the United States, you must also provide any identifying information or tax documentation (such as a W-9 or W-8) necessary for payment of amounts due, and you agree that we have the right to withhold appropriate taxes from your payments.
- We reserve the right to withhold payments or impose other penalties if we do not receive proper identifying information or tax documentation from you. You understand and agree that you are ultimately responsible for any taxes on your income.
- Depending on the applicable revenue share model and the Compensation Plan, payment will be made weekly and/or monthly. Please refer to the “Compensation Plan” document for details on Affiliate and Creator payment schedules.
- As a Course Creator, you are responsible for determining whether you are eligible to be paid by a U.S. company. We reserve the right not to pay out funds in the event of identified fraud, violations of intellectual property rights, or other violations of the law.
- If we cannot settle funds into your payment account after the period of time set forth by your state, country, or other government authority in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by submitting those funds to the appropriate government authority as required by law.
- All payments will be made through The Great Discovery’s eWallet system or
alternative payments (to be determined). eWallet balances can be withdrawn
through The Great Discovery’s i-Payout system.

Refunds
- You acknowledge and agree that students have the right to receive a refund, as detailed in the Terms of Service. Course Creators will not receive any revenue from transactions for which a refund has been granted under the Terms of Service.
- If a student asks for a refund after we have paid the relevant Course Creator payment, we reserve the right to either (1) deduct the amount of the refund from the next payment sent to the Course Creator or (2) where no further payments are due to the Course Creator or the payments are insufficient to cover the refunded amounts, require the Course Creator to refund any amounts refunded to students for the Course Creator's Submitted Content.

Trademarks
While you are a published Course Creator and subject to the requirements below, you may use our trademarks where we authorize you to do so.
- You must:
- only use the images of our trademarks that we make available to you, as detailed in any guidelines we may publish;
- only use our trademarks in connection with the promotion and sale of your Submitted Content available on The Great Discovery or your participation on The Great Discovery; and
- immediately comply if we request that you discontinue use.
- You must not:
- use our trademarks in a misleading or disparaging way;
- use our trademarks in a way that implies that we endorse, sponsor, or approve of your Submitted Content or services; or
- use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.

Canceling / Inactivating Your Account
- Contact [email protected] for instructions on how to cancel or inactivate your Course Creator account. We'll use commercially reasonable efforts to make any remaining scheduled payments that are owed to you before cancelling or inactivating your account. You understand that if students have previously enrolled in your Submitted Content, your name and that Submitted Content may remain accessible to those students after your account is canceled or inactivated. Miscellaneous Legal Terms

Updating These Terms
- From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and The Great Discovery reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.
- Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.

Translations
Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will control if there is any conflict.

Relationship Between Us
You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

Survival
The following sections shall survive the expiration or termination of these Terms: Sections 2 License to The Great Discovery, 3.2 Relationship to Other Users, 5.3 Receiving Payments, 5.4 Refunds, 7 Canceling / Inactivating Your Account, and 8 Miscellaneous Legal Terms.

Intellectual Property Policy
The Great Discovery is a technology platform that enables anyone anywhere to create and share educational content. We host thousands of courses on our online learning marketplace. Our marketplace model means we don’t review or edit the content for legal issues, and we aren’t in a position to determine the legality of the content. However, The Great Discovery respects the intellectual property rights of others and expects Course Creators on The Great Discovery to do the same. When Course Creators post content on The Great Discovery, they make the promise that they have the necessary authorization or rights to use that content.
Infringing activity is not tolerated on or through our platform.
This policy addresses what we do in the event of copyright takedown notices from content owners and trademark takedown notices from trademark owners with respect to the content on The Great Discovery platform. The policy also addresses what we do when The Great Discovery Course Creators’ courses are copied on third-party platforms without their consent.
